CLAY, Circuit Judge. Defendant BMW Financial Services NA, LLC (“BMWFS”) appeals the district court’s denial of its motion to compel arbitration of Plaintiff’s unjust enrichment claim alleging that BMWFS pocketed the excess proceeds of an insurance payout. The dispute stems from a vehicle lease agreement between Plaintiff and BMW of Westlake, a car dealership, to which BMWFS is a non-signatory. For the reasons set forth below, we affirm the district court’s judgment. I. BACKGROUND On August 31, 2021, Plaintiff ORG Holdings entered into a Vehicle Lease Agreement (“the Lease” or “Lease Agreement”) with non-party BMW of Westlake, a car dealership, to lease a 2022 BMW M5 vehicle for a term of thirty-six months.
